Terms of Service

These Terms of Service (“Terms”) govern your use of services provided by Hubbard Business Solutions, LLC, doing business as Adimize (“Adimize,” “we,” “us,” or “our”). By signing up for any Adimize service or using adimize.com, you agree to these Terms.

If you don't agree, don't use the service. Simple as that.

1. Who We Are

Adimize is a digital marketing services company operated by Hubbard Business Solutions, LLC, a Florida limited liability company taxed as an S-Corporation. We provide paid advertising management, AI-search visibility services, website development, CRM and automation services, and business development consulting — primarily to home service businesses.

2. Services

We offer the following services, each described in detail at adimize.com/services:

  • Paid Ads Management
  • AI-Search Visibility Management
  • Service Hubb AI (CRM + automation)
  • Websites
  • Business Development Management

Each service has its own scope, pricing, and deliverables. By signing up, you agree to the service description and pricing as displayed at the time of purchase.

3. Payment Terms

Subscriptions. Most services are billed monthly via Stripe. Your card is charged automatically on the same day each month based on your initial signup date.

Setup fees. Where applicable, one-time setup fees are charged at signup and are non-refundable.

Variable fees (Paid Ads Pro). For Paid Ads Pro, we charge 20% of your monthly ad spend in addition to the base subscription. This portion is invoiced at the end of each month based on actual ad spend.

Late or failed payments.If your payment fails, we'll attempt to retry. If payment isn't received within 7 days, we may pause services until payment is resolved.

4. Refund Policy

No refunds. All payments are non-refundable. Services begin immediately upon payment, and the work, time, and resources we commit to your account cannot be reversed.

This includes:

  • Monthly subscription fees
  • One-time setup fees
  • Variable percentage fees on ad spend
  • Ad spend you've authorized to be deployed

If you cancel mid-month, services continue through the end of your current billing period. You will not be charged for the following month, but no prorated refund will be issued for the current month.

5. Website Service Terms

Adimize Website services operate on a 12-month term, structured to protect both client and provider:

During the 12-month term:

  • Adimize provides design, build, hosting, security, maintenance, and unlimited edits
  • The website is hosted on infrastructure managed by Adimize
  • The client retains full operational use of the website during this period

Upon completion of the 12-month term:

  • Full ownership of the website transfers to the client, including design files, content, and source code
  • The client may continue services with Adimize, migrate the site elsewhere, or manage it independently

Early cancellation:

  • If the client cancels before the 12-month term is complete, the website remains the property of Adimize and is not transferred to the client
  • The client may exercise an early ownership option by paying the remaining balance of the 12-month term in full, after which ownership transfers immediately
  • Early cancellation does not entitle the client to any refunds for prior payments (per Section 4 of these Terms)

These terms exist to protect both parties: clients build equity in a site they fully own at term completion, and Adimize is protected from sunk-cost risk on early-termination clients.

6. Cancellation

You can cancel anytime by emailing justin@adimize.com. Cancellations take effect at the end of your current billing period. We do not lock you into long-term contracts unless explicitly agreed in writing for custom Business Development engagements.

7. Your Responsibilities

To deliver our services effectively, we need you to:

  • Provide accurate information about your business
  • Respond to communications from us in a reasonable timeframe
  • Maintain access to your accounts (Google Ads, Google Business Profile, website hosting, etc.) as needed for us to do the work
  • Pay invoices on time
  • Not engage in any activity that violates the policies of platforms we use on your behalf (Google, Meta, etc.)

If you fail to provide what we need to do the work, or your account is suspended due to policy violations, we are not responsible for resulting performance issues.

8. Intellectual Property

Your content. Anything you provide to us — your business name, logo, customer data, photos, copy, brand assets — remains your property. You grant us a license to use it solely for the purpose of delivering our services.

Our work product. Custom work we create specifically for you (websites, ad copy, content) becomes your property upon final payment. Frameworks, templates, processes, internal tools, and methodologies we use to deliver services remain our property.

Adimize brand. The Adimize name, logo, website, and content are our property. You may reference us as your service provider but may not use our brand without permission.

9. Confidentiality

We treat your business information as confidential. We will not share details of your business, performance data, or strategy with third parties except as needed to deliver services or as required by law.

We may, with your permission, reference our work with you as a case study or testimonial.

10. Performance Disclaimer

We're committed to producing real results — that's the entire foundation of how we work. But marketing, advertising, and SEO results depend on many factors outside our control: market conditions, competition, platform algorithm changes, your service area, your pricing, and your operational ability to convert leads into customers.

We do not guarantee specific outcomes (revenue, leads, rankings, etc.). Any examples, case studies, or testimonials shown on our website reflect actual results from specific clients in specific circumstances and are not predictions of what your business will achieve.

11. Limitation of Liability

To the fullest extent permitted by law, Adimize's total liability for any claim arising out of or related to these Terms or our services is limited to the amount you paid us in the three months immediately preceding the claim.

We are not liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, lost revenue, lost data, or business interruption — even if we've been advised of the possibility of such damages.

12. Indemnification

You agree to indemnify and hold harmless Adimize, Hubbard Business Solutions, LLC, and their officers, employees, and affiliates from any claims, damages, or expenses arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any dispute arising from these Terms or our services will be resolved in the state or federal courts located in Hillsborough County, Florida, and you consent to that jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we'll update the “Last updated” date at the top. Continued use of our services after changes means you accept the updated Terms.
